Compass Service Agreement
Version 2026-10-09. This agreement is between Solvetix LLC, a Missouri limited liability company ("we", "Compass"), and the school or district named during sign-up ("the School"). The person who accepts it confirms they are authorized to sign for the School.
1. The service
Compass is an AI assistant at {school}.compasschat.org that answers questions from families and the public using the School's public website, public calendars, menus, athletics schedules and newsletters the School chooses to forward. We read those sources about once a day.
2. The School's part
- Tell us which public sources Compass may read, and forward only newsletters meant for families.
- Forward only content the School would share with the public. Newsletters can name students; forward them only if the School is allowed to share that content in that way.
- Do not send Compass student records or other non-public personal information.
- Tell families that Compass is an AI assistant that can make mistakes (the chat page already says so).
- Make the Compass privacy notice available to parents (the chat links it), and pass parents' privacy requests about Compass to us.
3. Permission to use the School's content
The School lets us copy, store, index and show its public website content, the newsletters it forwards, and its name, logo and colors, only to run Compass for the School during this agreement. The School keeps all rights in its content. The School confirms that it has the right to give this permission. We may not use the School's name or logo to promote Compass without the School's written consent.
4. Children's privacy (COPPA)
Students under 13 may use Compass. Compass does not ask for names, emails or accounts. It collects only what the Data Privacy Addendum describes: the questions typed, which are sent to the AI service to make an answer and are not kept unless the family presses "Yes, send it" to send a question Compass could not answer (then kept as section B of the Addendum says); and a random browser identifier used only for security and rate limits. As the FTC's COPPA guidance allows, the School authorizes this collection for its students, for the School's use only, and on parents' behalf. We use this information only to answer school questions for the School, never for advertising, profiling or training AI models. The School may ask what we collect from its students, and ask us to delete it, at any time.
5. Fees
The School chooses a plan at sign-up: School, US $1,499 a year for up to 5,000 questions a month, or School Pro, US $2,499 a year for up to 15,000 questions a month. The yearly fee is charged in advance for each year, by card or by invoice (net 30). The subscription renews each year until the School cancels. When a month's questions are used up, Compass stops answering until the next calendar month (UTC); unused questions do not carry over. A promotional code may lower or waive the fee for a time. We give 30 days' notice before any price change, and a new price applies only from the next renewal. Fees already paid are not refunded, including for part of a year.
6. Term and cancellation
The agreement runs for one year from the first payment and renews for another year each time the subscription renews. The School may cancel any time in its dashboard; the subscription then does not renew, and Compass stops at the end of the paid year. We may pause the service if an invoice is more than 30 days late, after an email warning. We may end the agreement for convenience with 30 days' notice and a refund of any fees paid for time after the end date. Either party may end the agreement if the other materially breaches it and does not fix it within 15 days of notice.
7. Accuracy
Compass answers from the School's sources and links them, and tries to say when it does not know. It can still be wrong. Compass is not a substitute for official notices from the School, and the School stays responsible for its own official communications.
COMPASS IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT COMPASS WILL BE ERROR-FREE OR ALWAYS AVAILABLE.
8. Liability
TO THE EXTENT THE LAW ALLOWS: (A) EACH PARTY'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE GREATER OF THE FEES PAID IN THE 12 MONTHS BEFORE THE CLAIM OR US $1,000; (B) FOR BREACHES OF THE DATA PRIVACY ADDENDUM, THE LIMIT IS INSTEAD THE GREATER OF THREE TIMES THOSE FEES OR US $25,000; AND (C) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS. These limits do not apply to fees the School owes, to a party's fraud or willful misconduct, or where the law does not allow a limit.
9. Claims about the School's content
To the extent the law of the School's state allows, the School will defend us against, and pay the resulting costs of, third-party claims that content the School provides or forwards to Compass breaks someone's rights or was shared without the right to share it. We will tell the School promptly about such a claim, let it control the defense, and help at its cost. If the School is a public body, nothing in this agreement waives any immunity it has under its state's law.
10. General
- Whole agreement. This agreement and the Data Privacy Addendum are the whole agreement on this subject. Changes need the School's acceptance in the dashboard or in writing. A purchase order's terms do not change this agreement.
- Order. If they conflict: a student data privacy agreement signed under section G of the Addendum comes first, then the Addendum, then this agreement.
- Notices. Notices go by email: to us at contact@compasschat.org, and to the School at the email of the person who signed or of a dashboard owner.
- Transfer. Neither party may transfer this agreement without the other's consent, except that we may transfer it to a company that takes over Compass, if that company accepts this agreement and we tell the School.
- Events outside our control. Neither party is responsible for a delay or failure caused by events outside its reasonable control, such as outages of internet or cloud providers, natural disasters or government action. This does not excuse paying fees.
- Independent parties. The parties are independent contractors.
- Waiver and severability. Not enforcing a term is not a waiver of it. If a court finds a term unenforceable, the rest stays in effect, and that term is enforced as far as the law allows.
- Survival. Sections 7, 8, 9 and 10, and sections C, E and F of the Addendum, continue after the agreement ends.
- Law. The laws of the School's state govern this agreement.
Data Privacy Addendum
A. No student records
Compass is designed so that it does not need or request student education records. Families use Compass without accounts; Compass does not ask for names or other personal information. Newsletters the School forwards may name students; Compass stores them only as the School's content, as the School published them, and deletes them as section F says. To the extent Compass receives information from education records, we act as a "school official" under FERPA, under the School's direct control for that information, and use it only for the School.
B. What Compass keeps, and for how long
- Questions are not kept, unless the family chooses to send one (see "Failed questions and feedback" below). Each question is sent to the AI model to make an answer; the AI service does not log or keep it. Chat history is saved only in the family's browser.
- Server logs. Our server logs can hold the short search terms made from a question, for fixing problems. They are deleted automatically within 7 days.
- Failed questions and feedback. When Compass cannot answer, the family may choose to send that question to the School and to our team; families may also send feedback to our team. Until they choose, it stays only in their browser. Email addresses, phone numbers and street addresses are removed before it is sent. Our team's copy is deleted within 30 days. The School's copy appears in its dashboard and is deleted automatically within 60 days of being sent. The School uses these questions only to improve its information for families.
- Browser identifier. A random identifier in a cookie, linked to usage counters, used only for security and rate limits. Counters are deleted within 7 days after the browser stops using Compass.
- Outside-source searches. If the School turns on outside sources, search results from allowed sites are cached for up to 30 days, linked to no person.
- Counts of questions per day, with no text, for the School's dashboard, kept while the agreement runs.
- The School's public website content, and newsletters the School forwards, kept while the agreement runs.
- The names and work emails of School staff who sign in to the dashboard, kept while the agreement runs.
C. What Compass never does
- Sell or rent any data, or use it for advertising.
- Use questions or School content to train AI models.
- Build profiles of families or students.
D. Service providers
Compass uses these service providers. They process data only to provide their service to us.
- Cloudflare: hosting, storage, email, bot checks, and the AI model that writes answers.
- Stripe: billing.
- Discord: delivers feedback and failed questions that families choose to send, and staff help messages, to our team.
- Google Calendar, Nutrislice, EventLink, Open-Meteo and the National Weather Service: only if the School uses those sources; short search queries go to them.
- Exa: only if the School turns on outside sources; short search queries go to Exa.
- jsDelivr and Google Fonts: deliver a script and fonts to the browser.
We will tell the School before we add a service provider that receives questions or School data.
E. Security and breaches
Data is encrypted in transit and at rest. We keep a written information security program, review it at least once a year, and limit access to the people who run Compass. We will tell the School without undue delay, and within 72 hours, of any breach affecting the School's data, and help the School meet any notice duties it has.
F. When the agreement ends
Within 60 days of the end of the agreement we delete the School's stored content, counts, failed questions and staff accounts, unless the School asks us to keep them longer. We keep billing, tax and signed-agreement records as long as the law requires.
G. State student privacy laws
If the School's state requires a specific student data privacy agreement or contract terms (for example the Student Data Privacy Consortium's National Data Privacy Agreement or its state version, New York Education Law § 2-d, or the Illinois Student Online Personal Protection Act), we will sign it on the School's request. On matters of student data, that signed agreement controls over this one.
